Terms of Service

1 Preamble

These Terms and Conditions (hereafter "the Terms") govern the contractual relationship between GLOBAL DIGITAL SERVICES LIMITED, a company registered in Hong Kong under number 70126319 (hereafter "the Provider" or "Stamova"), and any natural or legal person (hereafter "the Customer") subscribing to the services offered on the https://stamova.com platform.

Any registration or use of the Services implies unreserved acceptance of these Terms. The Customer acknowledges having read them and accepts them in full.

Information for European residents

Although our company is established in Hong Kong, we comply with the provisions of the General Data Protection Regulation (GDPR) for users residing in the European Union, and we respect European consumer rights.

2 Definitions

  • Platform: the website available at https://stamova.com and all associated applications.
  • Services: all the automation services offered by the Provider through the Platform.
  • Customer: any natural or legal person registered on the Platform.
  • User: any person using the Platform, whether a Customer or not.
  • Account: the Customer's personal space on the Platform, reached with their credentials.
  • Subscription: a contract for the supply of the Services entered into for a fixed, renewable term.
  • Automation: an automated process configured by the Customer to carry out repetitive tasks.
  • Team member: a User invited by a Customer to use the Services under that Customer's Subscription.

3 Purpose

The purpose of these Terms is to set out the conditions under which the Provider supplies the Customer with business process automation services through an online platform (SaaS, Software as a Service).

In particular, the Services allow the Customer to:

  • Create and manage automations connected to third-party services (Google Workspace, CRM and so on)
  • Automate repetitive tasks such as processing emails, managing a calendar, handling files
  • Manage a team of members with different levels of access
  • Track and analyse the performance of the automations

4 Registration and account

4.1 Creating an account

Access to the Services requires the creation of an Account. The Customer undertakes to provide accurate, complete and up-to-date information on registration, and is responsible for keeping that information current.

4.2 Credentials

The Customer is solely responsible for keeping their sign-in credentials confidential. Any use of the Services made from their Account is deemed to have been made by the Customer themselves. Where fraudulent use is suspected, the Customer must inform the Provider immediately.

4.3 Legal capacity

The Customer declares that they have the legal capacity required to contract. Where they act on behalf of a legal person, they warrant that they hold the powers required to bind it.

5 Description of the services

5.1 What is included

Depending on the Subscription plan chosen, the Services may include:

  • Access to the Platform and to the dashboard
  • Creating and managing automations
  • Integration with third-party services (Google Workspace and others)
  • Team member management
  • Technical support
  • Updates and new features

5.2 Availability

The Provider endeavours to keep the Platform available as far as possible. It cannot, however, guarantee uninterrupted availability and cannot be held liable for temporary interruptions for maintenance or updates.

5.3 Third-party services

The Services integrate with third-party services (Google and others). The Provider is not responsible for the operation, the modification or the unavailability of those third-party services.

6 Prices and payment

6.1 Prices

The prices of the Services are shown on the Platform in euros (EUR), excluding tax. Applicable taxes are added at the time of payment in accordance with the regulations in force.

6.2 Payment terms

Payment is made by bank card through our secure payment provider (Airwallex). Payment is due on subscription and then on each Subscription renewal date.

6.3 Automatic payment

By taking out a Subscription, the Customer expressly authorises the Provider to store their bank details and to take the Subscription amount automatically from the payment method used at subscription, on each renewal date.

The Customer may change or remove their payment method from their personal space. Where a payment fails (expired card, insufficient funds and so on), the Provider will retry the payment over a period of 7 days. Failing regularisation, access to the Services may be suspended in accordance with article 6.4.

6.3 Failure to pay

Where payment fails, the Provider reserves the right to suspend access to the Services after a reminder by email has gone unanswered for 7 days.

6.4 Changes to prices

The Provider may change its prices at any time. New prices apply only to new Subscriptions or to renewals. The Customer is informed at least 30 days before the renewal date.

7 Subscriptions

7.1 Plans

Several Subscription plans are offered, with different features and prices. The detail of each plan is available on the Platform's pricing page.

7.2 Term

The Subscription is entered into for a monthly or annual term, at the Customer's choice. It renews automatically at each expiry unless terminated.

7.3 Changing plan

The Customer may move to a higher plan at any time. A move to a lower plan takes effect on the next renewal date.

8 Right of withdrawal

For European consumers

In accordance with European law, consumers have 14 days from subscription in which to exercise their right of withdrawal, without having to give reasons or pay a penalty.

However, where the Customer expressly asks for performance of the Services to begin before the end of the withdrawal period and acknowledges that they thereby lose their right of withdrawal, that right can no longer be exercised once the Services have been fully performed.

To exercise this right, the Customer must give notice of their decision by email to [email protected].

9 Term and termination

9.1 Termination by the Customer

The Customer may terminate their Subscription at any time from their personal space. Termination takes effect at the end of the current Subscription period. No refund is due for the remaining period.

9.2 Termination by the Provider

The Provider may terminate the Subscription in the event of:

  • Non-payment after a formal notice has gone unanswered
  • Breach of these Terms
  • Fraudulent or abusive use of the Services
  • Conduct harming the interests of the Provider or of other users

9.3 Consequences of termination

On termination, the Customer immediately loses access to the Services. Data may be kept for a period of 30 days and then deleted. The Customer may ask to export their data before termination.

10 Customer obligations

The Customer undertakes to:

  • Use the Services for their intended purpose and in accordance with these Terms
  • Provide accurate information and keep it up to date
  • Keep their credentials confidential
  • Make no attempt to circumvent technical or pricing limits
  • Not use the Services for unlawful or harmful purposes
  • Respect the intellectual property rights of the Provider and of third parties
  • Inform the Provider of any anomaly or malfunction observed
  • Satisfy themselves that their use of the automations is lawful in their professional context

11 Intellectual property

11.1 The Provider's rights

The Platform, the Services, the software, the automations, the interfaces, the text, graphics, images and other content are the exclusive property of the Provider or of its licensors. Any unauthorised reproduction, representation, modification or exploitation is prohibited.

11.2 Licence to use

The Provider grants the Customer a non-exclusive, non-transferable and revocable licence to use the Services for the term of the Subscription. This licence is strictly limited to using the Services in accordance with these Terms.

11.3 The Customer's data

The Customer retains ownership of all the data they enter into the Platform. They grant the Provider a limited licence to process that data for the sole purpose of supplying the Services.

12 Personal data

12.1 Collection and processing

The Provider collects and processes the Customer's personal data in accordance with its Privacy Policy and with the applicable regulations, in particular the GDPR for European residents.

12.2 Purposes

Data is processed for:

  • Managing the Account and the Subscriptions
  • Supplying and improving the Services
  • Billing and collection
  • Communicating with the Customer
  • Meeting legal obligations

12.3 The Customer's rights

The Customer has the rights of access, rectification, erasure, restriction, portability and objection in relation to their data. These rights may be exercised by email to [email protected].

13 Liability

13.1 Obligation of means

The Provider is bound by an obligation of means in supplying the Services. It undertakes to deploy all necessary means to ensure the continuity and the quality of the Services.

13.2 Limitation of liability

The Provider's liability may be engaged only where fault is proven. In any event, the Provider's liability is limited to the amount actually paid by the Customer over the 12 months preceding the event giving rise to the damage.

13.3 Exclusions

The Provider cannot be held liable for:

  • Indirect damage, such as loss of data, loss of turnover, commercial harm
  • Malfunctions attributable to the integrated third-party services (Google and others)
  • Use of the Services by the Customer other than as intended
  • Interruptions due to maintenance or to force majeure
  • Content and data entered into the Platform by the Customer

14 Force majeure

Neither party will be held liable for a failure to perform its contractual obligations resulting from an event of force majeure, including in particular: natural disasters, war, strikes, epidemics, widespread failures of telecommunications or of electricity supply, and cyberattacks of exceptional scale.

Where the event of force majeure lasts beyond 30 days, either party may terminate the contract without compensation.

15 Changes to these terms

The Provider reserves the right to change these Terms at any time. Changes take effect 30 days after they are notified to the Customer by email or displayed on the Platform.

Continued use of the Services after the changes take effect constitutes acceptance of the new Terms. Where the Customer disagrees, they may terminate their Subscription before the changes take effect.

16 Governing law and disputes

16.1 Governing law

These Terms are governed by the law in force in Hong Kong.

For European consumers

Without prejudice to the mandatory legal provisions applicable to consumer protection, consumers residing in the EU may also bring proceedings before the courts of their place of residence for disputes relating to consumer contracts.

16.2 Settling disputes

In the event of a dispute, the parties undertake to seek an amicable solution before taking any legal action. Failing an amicable resolution within 30 days, the dispute will be submitted to the competent courts.
